Contributor Agreement

By submitting this form, I (“the Artist”) agree to the following terms with The Creative Camera (“TCC”), operated by Terra Vitae Ltd.

1. Ownership of Artwork
   I confirm that I am the creator and copyright owner of all artworks submitted to TCC. Copyright and all intellectual property rights remain with me at all times.

2. Licence to TCC
   I grant TCC a non-exclusive, worldwide, revocable licence to display, reproduce, promote, market, distribute, and sell prints or authorised reproductions of my submitted artworks through TCC’s platforms, exhibitions, websites, social media channels, marketing materials, and related sales channels.

This licence includes permission for TCC to crop, resize, reformat, or adapt submitted artworks solely for technical, promotional, or display purposes, provided the underlying artwork is not materially altered.

The Artist retains full ownership of all artworks and may continue to use, sell, or license the artworks elsewhere unless otherwise agreed in writing.

This licence continues until terminated in accordance with these terms.

3. Non-Exclusivity
   Unless expressly agreed otherwise in writing, this agreement is non-exclusive and does not prevent the Artist from displaying, licensing, or selling their artworks independently or through third parties.

4. Revenue Share
   Net revenue from sales of artworks or authorised reproductions will be shared as follows:

• 60% to TCC
• 40% to the Artist

“Net revenue” means the sale price actually received by TCC after deduction only of:

• printing and production costs,
• packaging costs,
• shipping and delivery costs,
• payment processing fees,
• VAT or applicable sales taxes, and
• refunds or chargebacks.

No additional operational, advertising, staffing, or marketing costs may be deducted unless agreed in writing with the Artist.

5. Reporting and Payments
   TCC will provide monthly sales reports showing sales, deductions, and amounts payable.

Payments due to the Artist will be made within 30 days after the end of each calendar month using the payment details provided by the Artist.

TCC may withhold payment amounts below £50 and carry them forward until the minimum payout threshold is reached.

6. Removal and Termination
   The Artist may request removal of any artwork from sale at any time by written notice. TCC will stop offering the relevant artwork for sale within 30 days of receiving the request.

TCC may continue to fulfil orders already placed before removal and may continue using existing promotional materials for up to 30 days after removal where reasonably necessary.

Any outstanding amounts owed to the Artist will remain payable after termination or removal.

TCC may terminate this agreement at any time by giving 30 days’ written notice to the Artist.

7. Artist Warranties
   The Artist confirms that:

• the submitted artworks are original or properly authorised for use,
• the Artist has the legal right to grant this licence, and
• the artworks do not knowingly infringe any copyright, trademark, privacy, or other third-party rights.
• Indemnity

The Artist agrees to indemnify and hold harmless TCC and Terra Vitae Ltd against reasonable losses, damages, or legal claims arising directly from a breach of the warranties above or from third-party intellectual property claims relating to the submitted artworks.

8. Limitation of Liability
   Nothing in these terms excludes liability that cannot legally be excluded under the laws of England and Wales.

Subject to this, TCC’s total liability arising under these terms shall not exceed the total amount paid or payable to the Artist during the previous 12 months.

TCC shall not be liable for indirect or consequential losses, including loss of profits or business opportunity.

10. Digital Rights and NFTs
    Unless separately agreed in writing, this agreement does not grant TCC any ownership rights in the artworks and does not authorise TCC to mint, sell, or exploit the artworks as NFTs, blockchain assets, or similar digital tokens.

11. Privacy and Data Protection
    TCC will process the Artist’s personal information in accordance with applicable UK data protection laws, including the UK GDPR and the Data Protection Act 2018, for purposes connected with administration of this agreement, payments, and communications relating to artwork sales and promotions.

12. Force Majeure
    TCC shall not be liable for any delay or failure to perform its obligations where caused by events beyond its reasonable control, including natural disasters, internet outages, supplier failures, strikes, pandemics, governmental actions, or other unforeseen events.

13. Entire Agreement
    These terms constitute the entire agreement between the Artist and TCC regarding the submitted artworks and supersede any prior discussions or understandings relating to them.

14. Governing Law
    These terms are governed by the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and WaleChanges to These TermsTCC may update or modify these terms from time to time where reasonably necessary for business, legal, operational, or regulatory purposes.

15. Changes to These Terms
    TCC may update or modify these terms from time to time where reasonably necessary for business, legal, operational, or regulatory purposes.

Artists will be notified of any material changes by email or through TCC’s platform at least 14 days before the updated terms take effect.

Continued submission of artworks or continued participation in TCC’s platform after the effective date of the updated terms constitutes acceptance of the revised terms.

Any sales completed before the effective date of updated terms will remain subject to the terms in force at the time of sale.
